Strategic oversight and fiduciary responsibility
The board will approve strategy, risk appetite, annual budgets, executive accountability, major policies and material conflicts. It will receive programme, safeguarding, finance and data-protection reporting.
Operational accountability
The Executive Director will be accountable for strategy execution, culture, resources and organisational performance. Programme and operational leaders will hold defined decision rights and escalation duties.

Conflicts of interest must be recorded and managed
Leaders will declare relevant financial, personal, professional and organisational interests. Material conflicts will require recusal, an alternative decision-maker and an auditable record.
How vacancies will be presented
A vacancy notice will state responsibilities, time commitment, term, remuneration status, location, safeguarding requirements, conflicts and the selection process. Informal or undisclosed appointments will not substitute for due process.
